There's an algorithm that determines, based on your level/class/stats, what your maximum hits and spell points should be (not exactly, but essentially). When you retrain someone, they retain all their hits and spell points, so you start out well over these maxima. Until you again get to a high enough level, then, you're only going to get the minimum increases of 1 hit/1 spell point per level.

So, for example, if you have a level 15 wizard and retrain him as a sorcerer, he's not going to get more than 1 SP per level until he again reaches level 15 (or even higher, possibly). At least, I think that's how it works.
