Since you're not asking what's correct to do, only what would I do, I'll give it a shot. Although before any of that, I feel for you -- may it all work out for the best.

I'd first make certain that there's nothing big going on that has triggered all this. I imagine that you've had conversations out the kaboose, but I'd also recommend setting up an appointment for the both of you with the school psychologist.

After that, I'd tell him that he's likely going to fail the year and I would let him know that you're not going to ask the teachers for any favors in passing him. Let him know that all of his friends are going to move a year ahead.

Then I would encourage him every time he does anything that resembles work. If he does some of his homework, give him a reward. If he doesn't, don't punish him, but certainly don't reward him. In essence, I'd let your son sink while also letting him know that it's the last thing that you want to see happen.

And I hope you don't harm any hairs on your head. No matter what happens, your son has plenty of time to recover. Sooner or later, he'll want to.
